Payment Terms

Commission, payouts and settlement for Boredom vendors.

1. Scope and status

1.1 These Payment Terms govern fees, commission, payouts and settlement between Boredom Technologies Nigeria Limited, a company incorporated in the Federal Republic of Nigeria under registration number RC 9476822, whose registered office is at 22a Ogbunike Street, Lekki Phase 1, Lagos, Nigeria ("Boredom", "we", "us"), and the Vendor ("you", "your").

1.2 These Payment Terms form part of the Vendor Agreement. They are not a separate contract. They are incorporated under §1.4 of that Agreement, accepted at the same time and in the same way under §14 of it, and take effect on that acceptance. No separate signature is required.

1.3 The following provisions of the Vendor Agreement apply to these Payment Terms as if set out here in full: §1.5 (order of precedence), §13.1 (governing law — the laws of the Federal Republic of Nigeria, exclusive jurisdiction of the Nigerian courts), §13.4 to §13.9 (entire agreement, severability, waiver, third parties, notices, counterparts) and §14 (acceptance and execution, including the record of which version you accepted).

1.4 Terms defined in the Vendor Agreement have the same meaning here.

1.5 All amounts are in Nigerian Naira (₦) unless stated otherwise.

2. Payment methods

Customers pay for an order in one of two ways:

Method How it works
Pay in full The customer pays the whole order amount up front through the Platform.
Split bill Each attendee pays their own share. Funds are held until every share is paid. If the full amount is not collected by the deadline, all shares are refunded and the order is cancelled.

2.1 All Platform orders are paid through the Platform

All customer payments for orders placed through the Platform must be processed using Boredom's integrated payment system. You must not request or accept direct payment for an order placed through the Platform, or take payment in any way that leaves the order unrecorded, unless Boredom authorises it in writing.

Breach of this clause is a material breach of the Vendor Agreement and may result in suspension under §10 of that Agreement.

2.2 Historical pay-at-venue orders

Boredom previously supported a "pay at venue" method, under which the customer paid the Vendor directly. It is no longer offered and cannot be selected. Orders created under it before it was withdrawn remain visible in your dashboard and continue to be treated as they were at the time: no funds passed through the Platform, no commission was charged, and no payout arises. Nothing in these Terms revives that method.

3. Commission

3.1 Boredom charges a commission of 11% on each completed order. A different rate may be agreed with you and recorded on your vendor record; where one is set, it applies instead.

3.2 The commission rate is inclusive of the payment processing fee, which Boredom bears. You are not separately charged a processing fee.

3.3 Taxes on commission. Unless otherwise stated, the commission is exclusive of any applicable VAT or other taxes, which will be added where required by law. Where tax becomes chargeable on the commission it will be shown separately, and we will give you notice under §9 before it first applies.

3.4 No commission arises on an order that is cancelled and refunded in full (§6.1), or on a historical pay-at-venue order (§2.2).

4. How money flows

4.1 Split at source. Where your payout subaccount has been provisioned with our payment processor, the charge is split at the point of payment: your share (order total less commission) settles to you directly, and Boredom's commission settles to Boredom. You never hold Boredom's share and Boredom never holds yours.

4.2 Before provisioning is complete. Split at source is how every order is settled once your payout subaccount exists. Only in the short window before it does — see §5.3 — can a charge settle to Boredom instead, in which case your share is computed at the applicable commission rate and remitted to you under §5.3.

4.3 Processor. Payments are processed by a payment service provider licensed by the Central Bank of Nigeria (CBN). Boredom does not store full payment card data. Transactions are subject to the CBN Guidelines on Electronic Payment and the Payment Service Provider Regulations.

5. Payouts

5.1 Boredom does not hold your money. Your share of every order is settled to your bank account directly by the payment processor, normally within 24 hours of the order completing. It does not pass through Boredom's account, and Boredom cannot delay or withhold it except as §10 permits.

5.2 Deductions. What you receive is the order total less the applicable commission and less any refunds, chargebacks or other deductions permitted by these Terms.

5.3 Before your payout account is provisioned. Settlement direct to your bank requires your payout subaccount to be set up with the processor, which needs valid bank details from you. In the short window before that is complete — for example immediately after approval, if your bank details are missing or could not be verified — a charge may instead settle to Boredom. Where that happens, Boredom will remit your share to you within 24 hours of the order completing, and will provision your subaccount so that subsequent orders settle to you directly.

5.4 Bank details. You are responsible for the accuracy of the payout details you provide. Boredom is not liable for funds sent to an account you specified incorrectly. Payout details are held in a restricted, owner-only record and are visible only to your Owner and Finance roles.

5.5 Minimum payout. There is no minimum payout threshold. Every amount due to you is remitted regardless of size.

5.6 Failed transfers. Where a transfer fails because of incorrect or closed account details, we will contact you and retry once corrected. Repeated failures may result in the payout being held pending verification.

6. Refunds and cancellations

6.1 Customer cancellation — full refund. Where a customer cancels 2 or more hours before the meetup, they receive a full refund. The refunded amount is deducted from your settlement, and the commission on that order is reversed — you are not charged commission on a refunded order.

6.2 Customer cancellation — inside 2 hours. Cancellations made less than 2 hours before the meetup are not automatically refundable. Discretionary refunds may be agreed between you, the customer and Boredom.

6.3 Split-bill shortfall. Where a split-bill order does not reach 100% of the amount by the deadline, all collected shares are refunded automatically and the order is cancelled. No commission arises.

6.4 Vendor cancellation. Where you cancel or cannot fulfil a confirmed order, the customer is refunded in full and the refunded amount is deducted from your settlement.

6.5 Chargebacks. Where a customer successfully charges back a payment, the amount and any associated processor fee are deducted from your next settlement. We will notify you and give you a reasonable opportunity to provide evidence to contest it.

6.6 Negative balance. Where refunds or chargebacks exceed your pending settlement, the shortfall is carried forward and offset against future settlements. Where your account closes with a negative balance, the outstanding amount is payable to Boredom on demand.

7. Disputes

7.1 Raise any settlement query within 60 days of the settlement date.

7.2 We will investigate and respond within 14 business days.

7.3 You can view your earnings and settlement history in the dashboard at any time. The Earnings page is the record of what has been settled to you.

8. Taxes

8.1 You are solely responsible for determining, charging, collecting, reporting and remitting all taxes arising from your sales — including VAT where applicable.

8.2 Boredom does not provide tax advice. Amounts shown in the dashboard are not tax statements.

8.3 Taxes and withholding tax. Each party is responsible for its own taxes arising under these Terms in accordance with applicable law. Where any withholding tax is required by law in relation to payments under these Terms, the party legally responsible for deducting and remitting that withholding tax shall do so, and shall provide the other party with any required evidence of remittance.

9. Changes to fees

We may change commission rates or these Payment Terms on 30 days' written notice. You may terminate the Vendor Agreement without penalty before the change takes effect. Changes do not apply retrospectively to orders already placed.

10. Suspension of payouts

We may withhold a payout where we reasonably suspect fraud, a material breach of the Vendor Agreement, or where we are legally required to do so. We will notify you and the reason, and release the funds promptly once resolved.
